Encore Capital Management S.R.L. (“ECM”) will be the Administrator of ECT, as appointed by the Articles of Association. Under the Articles of Association, the Administrator provides services to ECT, such as maintaining the register of shareholders, receiving and processing additional offerings/equity capital increases, submitting to shareholders a statement of their holdings, contracting the calculation of the Net Asset Value, maintenance of accounting reports, preparation of financial statements, liaison with auditors, etc.
The Administrator is also responsible for the selection and monitoring of the investment decisions and implementation of the Investment Objective & Policies.
The Administrator will be run by a Board of Directors to consist of at least 3 members and the number of the members will always be odd.
The Management Contract will be concluded between ECT and ECM, further to which ECM will provide services as Administrator. Besides the implementation and execution of all decisions of ECT shareholders’, ECM will design, propose and execute the Investment Objectives & Policies.
The Advisory Board does not have any formal legal responsibilities or decision-making authority and cannot issue directives that must be followed. The Advisory Board makes recommendations and provides information and materials to the ECM Board of Directors.
